Our M&A team led all aspects of the legal due diligence, identified and addressed regulatory risk in the target's licensing portfolio, and structured the acquisition vehicle to optimise tax efficiency and regulatory compliance. We coordinated concurrent regulatory approval processes and negotiated comprehensive representations and warranties.
The transaction completed on schedule, with all regulatory approvals obtained within projected timelines. The acquisition structure we designed has since facilitated two add-on acquisitions by the same private equity group, for which we also acted.
